A Real Estate company is seeking a corporate paralegal for their West Palm Beach office.
The Paralegal, Corporate will directly assist and support the General Counsel and other members of the legal team with a focus on corporate governance, entity management, corporate record maintenance, and basic document review and preparation. The ideal candidate for this role will have a corporate paralegal background and will have strong attention to detail and organizational skills. Real estate experience is not required but is strongly preferred. This position will be based in West Palm Beach, Florida. Responsibilities include, but are not limited to:
Basic contract administration
Maintain corporate entity management platform, which includes working with our various corporate service agents on state filings and annual reports to ensure legal compliance
Prepare corporate filings, including entity formation/dissolution
Maintain accurate corporate records and organizational documents
Prepare corporate resolutions, corporate minutes and officer's certificates
Support corporate/real estate transactions and closings, including preparation of authorizing resolutions and coordinating document execution
Qualifications
Minimum of 5 years of corporate paralegal experience in either a law firm or an in-house legal department focusing on corporate governance
Prior experience managing expansive and complex organizational/entity structures
Undergraduate degree required
A Registered Paralegal (RP) certification is preferred
