Beacon Hill Legal is seeking a Georgia-licensed Corporate Attorney for a hybrid, temporary opportunity with our client in Atlanta, GA. This role will function on an "as-needed" basis, and weekly hours will range from 20-40 per week depending on team needs.
The ideal candidate will have 4+ years of relevant corporate legal experience, particularly in commercial transactions and intellectual property. Essential duties include:
Corporate Law:
- Draft, review, and negotiate a wide range of commercial agreements, including vendor, client, licensing, and partnership contracts.
- Advise on corporate governance, entity formation, compliance, and risk management.
- Support mergers, acquisitions, joint ventures, and other strategic transactions, including due diligence and deal execution.
- Provide counsel on regulatory and contractual issues impacting the company's business operations.
Intellectual Property:
- Manage and protect the company's IP portfolio, including patents, trademarks, copyrights, and trade secrets.
- Oversee IP filings, registrations, renewals, and enforcement matters domestically and internationally.
- Conduct IP due diligence for transactions and advise on ownership, licensing, and technology transfer issues.
- Draft and negotiate IP-related agreements such as licensing, confidentiality, and joint development contracts.
