This role plays a key part in supporting finance and transactional matters from inception through post-closing. The ideal candidate will have experience managing complex deal workflows, strong organizational skills, and the ability to collaborate with attorneys, clients, and external parties. This opportunity is direct hire, full-time, and hybrid.<\/p>\n<p><strong> <\/strong><\/p>\n<p><strong>Key Responsibilities<\/strong><\/p>\n<ul>\n<li>Conduct legal and transactional research and organize deal documentation<\/li>\n<li>Maintain transaction records and support overall deal management processes<\/li>\n<li>Coordinate with internal teams, vendors, and service providers, including billing and client data management<\/li>\n<li>Create and manage transaction checklists and track deal progress<\/li>\n<li>Draft corporate and transactional documents (e.g., resolutions, certificates, joinders, loan-related materials)<\/li>\n<li>Order, review, and summarize UCC, lien, litigation, and bankruptcy searches<\/li>\n<li>Prepare and file UCC financing statements and related amendments<\/li>\n<li>Manage due diligence, including review of documentation and obtaining corporate records and good standing certificates<\/li>\n<li>Prepare and submit IRS forms (e.g., W-9, 8821)<\/li>\n<li>Coordinate signature packets and execution across multiple parties<\/li>\n<li>Prepare, organize, and distribute closing documents and materials<\/li>\n<li>Assemble and distribute executed closing sets (physical and electronic)<\/li>\n<li>Coordinate delivery of loan and related transaction documents<\/li>\n<li>Track post-closing items, maintain databases, and order post-closing searches<\/li>\n<li>Oversee creation and distribution of closing binders and electronic files<\/li>\n<\/ul>\n<p><strong> <\/strong><\/p>\n<p><strong>Qualifications<\/strong><\/p>\n<ul>\n<li>Bachelor&#8217;s degree or equivalent experience required; ABA-approved paralegal certificate preferred<\/li>\n<li>Minimum of 5+ years of experience managing corporate finance or transactional matters from inception through post-closing, including full deal lifecycle support<\/li>\n<li>Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint)<\/li>\n<li>Strong research, writing, and organizational skills with exceptional attention to detail<\/li>\n<li>Ability to manage multiple priorities and deadlines in a fast-paced, deadline-driven environment<\/li>\n<li>Proven ability to multitask, prioritize effectively, and work under pressure;
