This is an excellent opportunity for an attorney who enjoys high-quality deal work, meaningful client contact, and a collaborative platform that supports long-term professional growth.<\/p>\n<h2>About the Opportunity<\/h2>\n<p>The firm&#8217;s corporate team advises privately held businesses, investors, founders, family-owned companies, and middle-market clients on a broad range of transactional and day-to-day corporate matters. The work includes mergers and acquisitions, equity and ownership arrangements, governance counseling, commercial agreements, restructurings, strategic investments, and other complex business transactions.<\/p>\n<p>This role is designed for an attorney who is ready to take on substantive responsibility, work closely with experienced partners, and help clients navigate sophisticated business issues with practical, commercially minded advice.<\/p>\n<h2>What You&#8217;ll Handle<\/h2>\n<ul>\n<li>Represent clients in private company M&amp;A transactions, including acquisitions, sales, divestitures, joint ventures, and related strategic transactions.<\/li>\n<li>Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, commercial contracts, and ancillary transaction documents.<\/li>\n<li>Advise clients on corporate governance, ownership structures, private offerings, and general business matters.<\/li>\n<li>Manage diligence, coordinate transaction workstreams, and collaborate with internal and external stakeholders to move deals toward closing.<\/li>\n<li>Work across a variety of industries and client types, with exposure to both sponsor-backed and privately held businesses.<\/li>\n<\/ul>\n<h2>Ideal Background<\/h2>\n<ul>\n<li>Approximately 6+ years of corporate transactional experience.<\/li>\n<li>Strong experience with private company M&amp;A, private equity or investor-side transactions, corporate governance, commercial contracts, and general corporate counseling.<\/li>\n<li>Ability to manage deal components independently while working effectively as part of a team.<\/li>\n<li>Excellent drafting, writing, communication, and client-service skills.<\/li>\n<li>Strong judgment, attention to detail, and comfort operating in a fast-paced transactional environment.<\/li>\n<li>A proactive, entrepreneurial approach and genuine interest in continuing to grow as a corporate attorney.<\/li>\n<\/ul>\n<h2>Why This Role Stands Out<\/h2>\n<p>This opportunity offers the chance to join a busy, relationship-driven corporate practice where associates are given meaningful responsibility, direct access to partners, and exposure to a diverse mix of sophisticated matters.
