Beacon Hill Legal is seeking an experienced Corporate Paralegal to join a commercial law firm. As the Corporate Paralegal, you will deliver comprehensive legal support to attorneys within the firm’s corporate practice. Responsibilities include assisting with entity formation and maintenance, overseeing corporate governance, managing transactional closings, and organizing legal documentation. The ideal candidate is highly detail-oriented, proactive, and possesses experience handling a wide range of corporate legal matters in a law firm setting. This opportunity is direct hire, full-time, and hybrid (3 days in, 2 days remote) following the initial 90-days.
Key Responsibilities:
- Prepare and file formation documents for corporations, LLCs, and partnerships
- Maintain corporate records including minute books, stock ledgers, and entity management databases
- Draft and file annual reports, amendments, mergers, dissolutions, and other corporate filings
- Conduct due diligence – order and review UCC, lien, and litigation searches; summarize corporate documents and contracts
- Assist with transactional closings – prepare signature pages, closing binders, and coordinate document execution
- Track deliverables and timelines to support attorneys throughout transactions
- Research using Secretary of State and other government databases
- Draft and file UCC Financing Statements and amendments
- Liaise with clients, registered agents, and government agencies to gather necessary documentation
- Ensure compliance with filing deadlines and maintain good standing status across jurisdictions
- Prepare board and shareholder resolutions, consents, and meeting minutes
Qualifications:
- Bachelor’s degree and/or Paralegal Certificate preferred
- Mid-level experience as a Corporate Paralegal, ideally within a mid-to-large size law firm
- Strong knowledge of corporate law, entity structures, and state filing procedures
- Proficiency in Microsoft Office Suite and document management systems (e.g., NetDocs)
- Exceptional organizational, analytical, and communication skills
- Ability to manage multiple priorities and meet deadlines in a fast-paced setting
- High attention to detail and commitment to accuracy
- Professional demeanor with excellent interpersonal and client service skills
