Beacon Hill Legal is seeking a Corporate Paralegal for a hybrid, long-term contract position (5-6+ months) with our client in Jacksonville, FL or Gainesville, FL. This is a full-time role, Monday – Friday, during standard business hours. Please note that candidates may sit anywhere in Florida, but occasional travel may be required for remote employees.
The ideal candidate will have 5+ years of relevant experience as a Corporate Paralegal, along with 5+ years of relevant experience in the Corporate M&A space. Essential duties include:
- Support legal team in connection with M&A transactions, including asset transfer, transition, and post-closing integration activities.
- Coordinate legal due diligence processes, including collection, organization, review, and tracking of corporate, commercial, regulatory, and operational documents.
- Assist with management of virtual data room maintenance, indexing, and document uploads.
- Assist with preparation, review, and execution of transaction documents, including NDAs, asset purchase agreements, disclosure schedules, assignment and assumption agreements, and ancillary closing documents.
- Track key transaction milestones, deliverables, and post-closing obligations to support timely completion of deal activities.
