Ideal candidate will have 5+ years of relevant experience. The preference is to have this attorney work a hybrid schedule in the Philly based office, but a fully remote option is available as well. Contract Attorney – Mergers & Acquisitions
Philadelphia, PA | Legal Department | Contract Role
Position Summary
* Experienced M&A attorney supporting strategic transactions on a contract basis.
* Focus on due diligence, transaction execution, and risk assessment.
Key Responsibilities
* Support mergers, acquisitions, divestitures, and joint ventures.
* Draft and negotiate transaction documents (NDAs, LOIs, purchase agreements).
* Lead or support legal due diligence and prepare risk summaries.
* Identify and escalate legal risks and provide mitigation strategies.
* Collaborate with Legal, Finance, Tax, and external counsel.
Additional Responsibilities (Preferred)
* Review real estate-related agreements (leases, title matters).
* Assess property-related risks in transaction portfolios.
Qualifications
* JD and active bar admission.
* M&A or general deal experience
* Strong due diligence and deal execution experience.
* Excellent drafting, negotiation, and analytical skills.

* Ability to operate independently in high-paced environments.
