Finance Paralegal – Job Description
A leading law firm is seeking a detail-oriented Finance Paralegal to support attorneys in a high-volume, deadline-driven transactional practice. This role plays a critical part in managing the lifecycle of finance transactions, including document preparation, due diligence, closing coordination, and post-closing execution. The ideal candidate thrives in a fast-paced environment and demonstrates strong organizational skills, attention to detail, and the ability to effectively manage multiple priorities.
Transaction Support & Document Preparation
- Draft and revise a wide range of transactional documents, including financing statements, amendments, terminations, closing checklists, and organizational documents for entities such as corporations, LLCs, and partnerships
- Prepare and submit filings related to entity formation and regulatory compliance, including obtaining identification numbers and related documentation
- Assist with editing and formatting finance-related documents such as promissory notes, security agreements, and ancillary closing materials
- Coordinate and manage signature pages, including distribution, execution tracking, and quality control
Due Diligence & Records Review
- Order, review, and summarize lien searches and other related due diligence materials
- Obtain and organize corporate records from public agencies, including good standing certificates and formation documents
- Coordinate required filings with appropriate internal teams or third-party vendors to ensure accuracy and compliance
Deal Coordination & Execution
- Prepare and maintain comprehensive closing checklists and timelines
- Manage the flow of closing documents and deliverables among internal teams, clients, and external parties
- Support attorneys through all phases of closing by ensuring documents are complete, accurate, and delivered on time
Post-Closing & Documentation Management
- Assemble and organize final transaction documents, including electronic closing binders
- Ensure proper storage and archiving of transaction materials in accordance with internal procedures
Qualifications & Experience
- Bachelor’s degree required; paralegal certificate preferred
- 3+ years of relevant law firm or transactional experience preferred
- Strong proficiency in Microsoft Office applications
- Familiarity with platforms used for preparing and filing financing statements is a plus
