Position: Corporate Paralegal
Location: Northern Suburbs of Chicago
We are seeking an experienced Corporate Paralegal to support our client’s in-house legal department, collaborating closely with attorneys and legal team members on a wide range of corporate and transactional matters. This role requires a proactive professional with a deep understanding of corporate governance, transactional support, and legal compliance. It is a full time onsite position.
Key Responsibilities
- Assist in drafting, reviewing, and revising confidentiality agreements and similar legal documents.
- Support legal and business teams with document management, due diligence, and routine corporate filings.
- Act as a liaison between internal business units, outside counsel, registered agents, and third-party vendors to coordinate document flow and legal processes.
- Prepare and file a variety of corporate documents, including entity formations, amendments, foreign qualifications, trade name registrations, annual reports, and dissolution paperwork.
- Manage legal documentation and records, including maintaining corporate databases and tracking entity information.
- Support the completion of Know Your Customer (KYC) and Ultimate Beneficial Ownership (UBO) questionnaires and related requests.
- Respond to service of process (SOP) notices and subpoenas in coordination with internal and external stakeholders.
- Conduct conflict checks and assist in preparing disclosure schedules for corporate transactions.
- Build and maintain spreadsheets, visual reports, and organization charts as needed to support legal operations.
Qualifications
- Bachelor’s degree required.
- At least 10 years of corporate paralegal experience, with a preference for in-house legal department exposure.
- Demonstrated proficiency in reviewing and negotiating non-disclosure agreements.
- Strong command of Microsoft Office applications; experience with Visio or similar tools is a plus.
- Highly organized with a sharp attention to detail.
- Proven ability to handle sensitive information with discretion.
- Experience supporting the full lifecycle of financial transactions, from initial evaluation through closing.
