Paralegal – Real Estate & Corporate Transactions
Position Overview:
This role supports attorneys in managing a wide range of commercial and residential property matters. The successful candidate will be involved from the early stages of transactions through closing and post-closing follow-up. Additionally, this position supports corporate activities such as entity formation and maintenance in connection with property deals, mergers, and acquisitions.
Primary Duties:
- Work closely with legal counsel during the initial review phase of contracts, inspections, and due diligence documentation.
- Order and analyze title commitments, surveys, and underlying exception documents; communicate with title companies and surveyors to address any issues.
- Track important contractual deadlines and maintain detailed closing checklists.
- Arrange for earnest money deposits and manage the movement of funds through title agencies.
- Assist in all aspects of closing processes: draft and organize deeds, settlement statements, affidavits, and related documentation.
- Gather required certifications, tax records, zoning approvals, insurance certificates, and lien payoff information.
- Oversee post-closing tasks such as compiling binders, tracking post-closing deliverables, and maintaining accurate closing records.
- Draft letters, legal summaries, and routine correspondence.
- Prepare first drafts of agreements, amendments, lease-related documents, and estoppel certificates for attorney review.
- Assist in preparing abstracts of leases and loan documents, and review zoning and planning reports.
- Create and manage LLCs, corporations, and partnerships; maintain up-to-date entity records; request and review authority documentation.
- Draft corporate and transactional agreements, such as operating agreements, purchase agreements, and stock sale documents.
- File and track UCC financing statements and perform lien searches with summary reports.
- Submit documents for recording in jurisdictions across various states and counties.
- Assemble document exhibits and finalize document packets.
- Research real estate tax, document recording, and transfer obligations by jurisdiction.

- Financially literate – able to perform basic calculations and draft financial documents
- Flexible to work occasional extended hours or weekends as needed
- Technologically proficient; skilled in MS Word, Excel, and able to perform internet-based legal research
Qualifications:
- Bachelor’s degree or formal paralegal training required
- Minimum of 3-5 years’ experience supporting commercial real estate and corporate transactions; law firm experience preferred, though in-house roles will be considered
- Notary Public license preferred
