Corporate Paralegal
A Chicago-based law firm is seeking a Corporate Paralegal to join its busy transactional practice. This is a full-time, hybrid role supporting attorneys on a wide range of corporate, M&A, and securities matters. The position involves direct involvement in complex transactions, entity formation and maintenance, and ongoing corporate governance work, while working closely with attorneys and internal teams.
This role operates on a 40-hour work week with a hybrid schedule of three days onsite and two days remote. The team maintains a strong workflow, and this position includes a billable requirement of approximately 1,600 hours. This is an excellent opportunity for a corporate paralegal looking to be deeply involved in high-level transactional work within a collaborative and fast-paced environment. The salary range for this position is $90K-$130K, depending on experience.
The ideal candidate has strong experience supporting corporate transactions and is comfortable handling a wide variety of responsibilities including due diligence, entity management, and SEC-related filings. This role is best suited for someone highly organized, detail-oriented, and able to manage multiple priorities and deadlines with minimal supervision.
Skills required and Job Duties include the following:
Job Duties:
- Support corporate transactions, including due diligence and closing processes
- Prepare and file UCC financing statements and related documents
- Assist with entity formation, governance, and maintenance
- Draft corporate documents including consents, certificates, and ancillary agreements
- Manage data rooms, closing checklists, and signature pages
- Prepare and maintain corporate records and filings across jurisdictions
- Handle post-closing filings and support ongoing entity compliance
- Assist with SEC filings and EDGAR-related processes
Qualifications:
- Minimum of 5+ years of corporate or transactional paralegal experience
- Strong experience with entity formation, governance, and transactional support
- Familiarity with UCC filings, due diligence processes, and closing procedures
- Experience with SEC filings and EDGAR systems strongly preferred
- Ability to manage multiple transactions and deadlines in a fast-paced environment
- Strong attention to detail, organization, and problem-solving skills
- Excellent written and verbal communication skills
- Proficiency with Microsoft Office and document management systems
- Prior law firm experience preferred
