A leading AmLaw law firm is seeking a talented Banking & Finance Associate to join its nationally recognized finance practice. This role offers the opportunity to work on complex, high-value transactions representing major financial institutions, private equity sponsors, and corporate borrowers across a broad range of industries.
Key Responsibilities:
- Represent lenders, arrangers, and borrowers in structuring, negotiating, and documenting a wide range of financing transactions, including:
- Leveraged and acquisition financings
- Cash flow and asset-based lending facilities
- Private credit and direct lending transactions
- Mezzanine and subordinated debt
- Refinancings and restructurings
- Draft and negotiate credit agreements, security documents, intercreditor agreements, and related transaction documents
- Conduct due diligence and manage closing processes for complex, multi-party transactions
- Collaborate with cross-functional teams, including M&A, capital markets, and restructuring groups
- Advise clients on deal structure, risk allocation, and market terms
Qualifications:
- 1-10 years of experience at a top-tier law firm with a focus on banking/finance
- Strong experience representing lenders and/or borrowers in syndicated or direct lending transactions
- Excellent drafting, negotiation, and analytical skills
- Strong academic credentials and attention to detail
- Ability to manage multiple transactions in a fast-paced environment
- Admission to the bar in the relevant jurisdiction (or ability to waive in)
