A premier, high-growth law firm with a market-leading emerging companies and venture capital practice is seeking a Fund Formation Associate to join its Chicago office. This is a unique opportunity to work at the intersection of venture capital, private funds, and high-growth companies alongside one of the most active platforms in the startup ecosystem.
Key Responsibilities:
- Advise sponsors on the formation, structuring, and ongoing management of venture capital, growth equity, and other private investment funds
- Draft and negotiate key fund documents, including limited partnership agreements, subscription agreements, and side letters
- Counsel emerging fund managers on regulatory, compliance, and operational matters
- Work closely with emerging companies, founders, and investors on strategic transactions and fund-related matters
- Collaborate with the firm’s market-leading EC/VC practice on fundraises, portfolio investments, and liquidity events
Qualifications:
- 1-7+ years of experience in private fund formation at a top law firm
- Experience with venture capital and growth equity funds strongly preferred
- Familiarity with sponsor-side and/or investor-side representations
- Strong academic credentials and large law firm training
- Excellent drafting, analytical, and communication skills
- Ability to manage multiple matters in a fast-paced, entrepreneurial environment
- Admission to the Illinois Bar (or ability to waive in)

Compensation & Structure:
- Salary range: $225,000 – $420,000, commensurate with experience
- Hybrid in-office schedule (Chicago-based)
