A top-tier Am Law 25 firm is seeking a talented associate attorney to join its Employee Benefits & Executive Compensation group. The ideal candidate will have 1-8 years of experience advising clients on a wide range of employee benefits and executive compensation matters in both transactional and stand-alone contexts.
Key Responsibilities

Advise public and private companies on the design, implementation, and administration of qualified retirement plans, health and welfare plans, and non-qualified deferred compensation plans.

Provide guidance on ERISA, IRS, and DOL compliance matters.

Draft and negotiate executive employment, severance, and equity compensation agreements.

Conduct due diligence and advise on employee benefits and compensation issues in M&A, private equity, and capital markets transactions.

Assist with the preparation of SEC disclosures relating to executive compensation, including CD&A and proxy disclosures.
Qualifications
-
1-8 years of relevant law firm experience in employee benefits and/or executive compensation.

Strong academic credentials and excellent written and oral communication skills.

Familiarity with tax (Section 409A, 280G, etc.) and securities law issues relating to executive compensation.

Experience supporting transactional practices is a plus.

Admission to the bar in the jurisdiction of practice or eligibility to waive in.
