The Atlanta office of a national firm has an immediate need for a Corporate Paralegal for a permanent position. You will join a successful and friendly team and will assist with corporate transactions and maintenance.
Responsibilities will include:
- Performing research and due diligence
- Preparing closing documents, binders, closing checklists and signature pages, and coordinating closings with all involved parties
- Assisting with corporate formations, mergers and acquisitions
- Drafting and filing Articles of Incorporation, UCC financing statements and other related documents
- Prepare EIN applications
- Preparing stock certificates
- Maintaining corporate records, minute books, annual reports
- Communicating regularly with clients
- Assisting with special projects as needed
Successful candidates will have exceptional organizational skills, the ability to prioritize and multitask, superior communication skills, attention to detail and be able to manage critical deadlines.
