Commercial Contracts Attorney (Vendor & Transactions Focus)
Position Overview
We are seeking an experienced, business-minded Commercial Contracts Attorney to support a high-volume, fast-paced legal environment. This role will focus on drafting, reviewing, and negotiating a broad range of commercial agreements, with an emphasis on vendor and procurement contracts, technology transactions, and real estate-related agreements.
The ideal candidate is a licensed, barred attorney with strong transactional experience, capable of partnering with cross-functional stakeholders to drive efficient, risk-balanced contracting processes.
Key Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements, including:
- Vendor and procurement agreements
- Non-disclosure agreements (NDAs) and confidentiality agreements
- Technology agreements (e.g., SaaS, licensing, software, IT services)
- Real estate leases and related property agreements
- Franchise and distribution agreements
- Provide legal guidance on contract terms, risk allocation, and compliance considerations
- Partner with procurement, finance, operations, and business teams to support contracting needs
- Manage full lifecycle contract processes, including intake, negotiation, execution, and post-signature obligations
- Develop and maintain contract templates, playbooks, and standard terms to improve efficiency and consistency [Contract A…l market 1 | Word]
- Advise on contractual risk and ensure alignment with applicable laws, regulations, and company policies
- Support process improvement initiatives, including contract lifecycle management (CLM) tools and workflow optimization [Experience…Engagement | Outlook]
- Assist with structuring complex or strategic transactions and vendor relationships
Qualifications
- Juris Doctor (JD) from an accredited law school
- Active bar admission in good standing (required)
- 5+ years of experience in commercial contracting, preferably in an in-house or technology-driven environment
- Strong experience negotiating and drafting:
- Procurement/vendor agreements
- NDAs and confidentiality agreements
- Software licensing and technology agreements
- Real estate leases and/or franchising agreements
- Demonstrated ability to manage high-volume contract workflows and competing priorities
- Experience with contract lifecycle management (CLM) systems and contract standardization initiatives is a plus
- Strong analytical, negotiation, and communication skills
- Ability to operate independently while collaborating across business functions
