Beacon Hill Legal is partnering with an Am Law 200 firm seeking a Corporate Finance Paralegal to join its Dallas office. This role plays a key part in supporting finance and transactional matters from inception through post-closing. The ideal candidate will have experience managing complex deal workflows, strong organizational skills, and the ability to collaborate with attorneys, clients, and external parties. This opportunity is direct hire, full-time, and hybrid.

Key Responsibilities

  • Conduct legal and transactional research and organize deal documentation
  • Maintain transaction records and support overall deal management processes
  • Coordinate with internal teams, vendors, and service providers, including billing and client data management
  • Create and manage transaction checklists and track deal progress
  • Draft corporate and transactional documents (e.g., resolutions, certificates, joinders, loan-related materials)
  • Order, review, and summarize UCC, lien, litigation, and bankruptcy searches
  • Prepare and file UCC financing statements and related amendments
  • Manage due diligence, including review of documentation and obtaining corporate records and good standing certificates
  • Prepare and submit IRS forms (e.g., W-9, 8821)
  • Coordinate signature packets and execution across multiple parties
  • Prepare, organize, and distribute closing documents and materials
  • Assemble and distribute executed closing sets (physical and electronic)
  • Coordinate delivery of loan and related transaction documents
  • Track post-closing items, maintain databases, and order post-closing searches
  • Oversee creation and distribution of closing binders and electronic files

Qualifications

  • Bachelor’s degree or equivalent experience required; ABA-approved paralegal certificate preferred
  • Minimum of 5+ years of experience managing corporate finance or transactional matters from inception through post-closing, including full deal lifecycle support
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint)
  • Strong research, writing, and organizational skills with exceptional attention to detail
  • Ability to manage multiple priorities and deadlines in a fast-paced, deadline-driven environment
  • Proven ability to multitask, prioritize effectively, and work under pressure; flexible to work overtime as needed
