We are seeking a Senior Corporate Paralegal to join a corporate practice supporting emerging company clients. This is a senior, high-autonomy role designed for a professional who thrives in ownership-driven environments and is motivated by meaningful, hands-on work.
You will operate as a core member of the deal team, working directly with attorneys and serving as a key point of coordination across clients, investors, and counterparties.
Key Responsibilities
Venture & Emerging Company Transactions
- Lead closing coordination for SAFE financings, convertible notes, and priced equity rounds, including preparation of signature packages
- Maintain and update cap tables; track equity activity, including option grants and exercises
- Support due diligence and manage virtual data rooms for venture transactions
- Draft corporate resolutions, board and stockholder consents, and related transaction documents
- Serve as a central liaison between founders, investors, and counsel to drive efficient deal execution
Corporate Governance & Entity Management
- Manage entity lifecycle matters, including formations, qualifications, and dissolutions across the U.S. and select international jurisdictions
- Maintain corporate records, governance calendars, and equity documentation across a portfolio of entities
- Prepare and file state registrations, foreign qualifications, and registered agent updates
- Coordinate with state agencies, service providers, and third parties on ongoing compliance matters
Process & Infrastructure
- Design and refine closing checklists, templates, and standard workflows for recurring transaction types
- Identify process gaps and recommend practical, scalable improvements
- Manage multiple concurrent matters with accuracy and composure under tight deadlines
Qualifications
- 10+ years of corporate paralegal experience within a law firm, in-house legal department, or financial institution
- Deep experience supporting venture and emerging company transactions, including SAFEs, priced rounds, cap tables, and equity documentation
- Strong expertise in corporate governance and entity management, including minute books and compliance tracking
- Advanced proficiency with document management systems, DocuSign, and virtual data room platforms
- Exceptional organizational and project management skills with the ability to handle multiple complex matters simultaneously
- Strong written and verbal communication skills; comfortable interfacing directly with clients and external counsel
- Self-directed, proactive, and solutions-oriented with the ability to work independently and anticipate needs
