An AmLaw 100 law firm with a nationally recognized finance practice is seeking a mid-level Commercial Finance Associate to join its growing team. This is an opportunity to work on sophisticated financing transactions for leading banks, private credit funds, and corporate borrowers across a wide range of industries.
Key Responsibilities:
- Represent lenders and borrowers in complex commercial finance transactions, including syndicated and bilateral credit facilities
- Draft and negotiate credit agreements, security documents, intercreditor agreements, and related financing documentation
- Advise clients on secured lending structures, collateral packages, and covenant compliance
- Support acquisition financings, recapitalizations, and other leveraged transactions
- Coordinate diligence efforts and manage deal execution from inception through closing
Qualifications:
- 2-8+ years of experience in commercial finance, leveraged finance, or related banking practices at a major law firm
- Strong drafting and negotiation skills with experience leading key components of transactions
- Familiarity with UCC Article 9 and secured lending concepts
- Excellent academic credentials and strong analytical ability
- Ability to manage multiple transactions in a fast-paced environment
