Position Overview

We are seeking a detail-oriented and proactive Corporate Paralegal for our client to support attorneys on a wide range of corporate, governance, transactional, real estate, and compliance matters. The ideal candidate is highly organized, able to manage multiple priorities in a fast-paced environment, and comfortable working independently while collaborating across departments.

Responsibilities

  • Assist with the preparation, review, and organization of legal documents, agreements, and corporate records.
  • Maintain corporate governance materials, including entity records, resolutions, minutes, consents, and organizational documents.
  • Support entity formation, qualification, dissolution, and ongoing maintenance activities.
  • Manage corporate filings and coordinate with outside agencies, regulators, and registered agents as needed.
  • Assist attorneys with contract administration, including tracking, organization, and execution of agreements.
  • Support mergers, acquisitions, financing transactions, and other corporate initiatives through due diligence and document management.
  • Maintain legal and compliance databases, document management systems, and corporate record repositories.
  • Coordinate signature collection processes and manage document execution workflows.
  • Monitor filing deadlines, regulatory requirements, and compliance obligations.
  • Conduct legal and business research and prepare summaries and reports for attorneys and internal stakeholders.
  • Support outside counsel engagements and manage related documentation and communications.

Qualifications

  • Must have 3+ years of paralegal experience in a law firm or corporate legal department.
  • Associate’s or Bachelor’s degree preferred.
  • Paralegal certificate preferred but not required.
  • Experience supporting corporate governance, contracts, compliance, or transactional matters preferred.
  • Strong knowledge of legal documentation, corporate records, and business entity structures.
  • Ability to handle confidential and sensitive information with discretion.
  • Proficiency with Microsoft Office Suite and legal document management systems.
  • Ability to prioritize competing deadlines and work effectively in a fast-paced environment.
