Corporate Paralegal

Position Summary

Our legal team is seeking a Corporate Paralegal to support corporate governance, contract administration, compliance, and legal operations activities. This role partners closely with attorneys, business stakeholders, and outside service providers to help manage corporate entities, contractual obligations, and legal matters in an organized and efficient manner.

The ideal candidate is highly organized, detail-oriented, and able to manage multiple priorities while maintaining confidentiality and professionalism.

Key Responsibilities

Corporate Governance & Entity Management

  • Maintain corporate records, governance documents, organizational charts, and entity databases.
  • Coordinate annual reports, business registrations, and compliance filings to ensure entities remain in good standing.
  • Track filing deadlines and corporate compliance requirements across multiple jurisdictions.
  • Assist with entity formations, mergers, dissolutions, restructurings, and related corporate transactions.
  • Prepare corporate resolutions, consents, certificates, and other governance documents.
  • Maintain corporate record books, licenses, permits, and ownership records.
  • Support due diligence efforts for acquisitions, divestitures, financings, and other strategic transactions.

Contract Administration

  • Manage the intake, review, routing, and execution process for contracts and legal agreements.
  • Maintain electronic contract repositories and document management systems.
  • Monitor key contract dates, renewal terms, notice periods, and other obligations.
  • Coordinate signature processes through electronic and traditional execution methods.
  • Support attorneys with version control, document revisions, and contract tracking.
  • Prepare contract reports and status updates for legal and business teams.

Legal Matter Management

  • Maintain tracking systems for litigation, claims, investigations, and other legal matters.
  • Monitor important deadlines and coordinate communications with outside counsel and internal stakeholders.
  • Track legal spend, invoices, budgets, and reporting requirements.
  • Assist with legal hold administration and records management.
  • Prepare matter summaries, status reports, and presentations for the legal department.
  • Coordinate logistics for hearings, depositions, mediations, and other legal proceedings as needed.

General Legal Support

  • Assist with obtaining and renewing business licenses and permits.
  • Maintain legal department databases and reporting tools.
  • Respond to internal requests related to corporate records, contracts, and compliance matters.
  • Support special projects and process improvement initiatives.

Qualifications

  • Bachelor’s degree or equivalent combination of education and relevant experience.
  • Paralegal certificate preferred.
  • 3+ years of corporate paralegal, legal operations, or transactional experience in a law firm or corporate legal department.
  • Knowledge of corporate governance, entity management, and multi-state compliance requirements.
  • Experience with contract management and legal document administration.
  • Strong organizational, analytical, and communication skills.
  • Ability to manage multiple projects simultaneously and meet deadlines.
  • Proficiency with Microsoft Office Suite, document management systems, e-signature platforms, and contract management software.
  • Ability to work independently while collaborating effectively with attorneys, executives, and cross-functional business teams.

Preferred Qualifications

  • Experience supporting mergers and acquisitions, due diligence projects, or corporate restructuring matters.
  • Familiarity with entity management and contract lifecycle management platforms.
  • Paralegal certification from an accredited program.
  • Prior in-house legal department experience.
