Position Overview
A leading law firm is seeking an experienced Corporate Paralegal to support attorneys in complex financing, lending, and business transactions. This role will be heavily involved throughout the transaction lifecycle, from initial due diligence through closing and post-closing administration. The successful candidate will serve as a key member of the deal team, coordinating documentation, managing transaction records, facilitating closing processes, and assisting with corporate and secured lending matters.
This position offers significant exposure to sophisticated transactional work and requires strong organizational skills, attention to detail, and the ability to manage multiple deadlines in a fast-paced legal environment.
Key Responsibilities
Transaction Management & Corporate Support
- Assist attorneys with all phases of corporate and finance transactions.
- Organize and maintain transaction files, due diligence materials, and closing documentation.
- Conduct corporate, regulatory, and public records research using electronic databases and government resources.
- Coordinate with clients, outside service providers, government agencies, and opposing counsel.
- Track transaction milestones and maintain status reports for active matters.
- Support post-closing administration and ongoing compliance requirements.
Finance & Secured Lending Matters
- Draft and prepare corporate and transactional documents, including:
- Corporate resolutions
- Secretary and incumbency certificates
- Joinders and amendments
- Opinion-related documents
- Organizational and authorization materials
- Perform UCC, lien, litigation, bankruptcy, and judgment searches and prepare concise summaries for legal teams.
- Prepare, file, amend, continue, and terminate UCC financing statements.
- Obtain certificates of good standing, certified organizational documents, and related corporate records.
- Review transaction documents for completeness and consistency.
- Coordinate execution of signature packages and closing deliverables.
- Assist with assembling closing deliverables, including schedules, exhibits, and ancillary documentation.
- Manage document circulation among transaction participants for review and execution.
- Prepare and maintain electronic and physical closing binders.
- Track post-closing obligations and help ensure timely completion of outstanding items.
- Prepare correspondence, transmittal letters, and related transactional communications.
- Work with vendors and filing agents to obtain required reports, filings, and certifications.
Administrative & Operational Support
- Manage corporate records and maintain accurate matter information within firm databases.
- Coordinate vendor invoicing and support billing-related processes.
- Monitor deadlines and create reminders for critical transaction-related tasks.
- Identify issues, escalate concerns appropriately, and help resolve transaction-related challenges.

Qualifications
- Bachelor’s degree preferred.
- Paralegal certificate from an accredited program preferred.
- Minimum of 3 years of experience supporting corporate, finance, banking, or commercial transactions.
- Prior experience with secured lending transactions and UCC filings strongly preferred.
- Experience handling complex document-intensive matters in a law firm or corporate legal department environment.
- Demonstrated ability to thrive in a deadline-driven setting.
