Corporate Counsel – In-House Attorney

A publicly traded industry leader is seeking a Corporate Counsel to join its corporate legal team at HQ in Cleveland. This is an outstanding opportunity for an attorney looking to broaden their in-house experience within a sophisticated legal department and gain exposure to a wide range of corporate, governance, finance, and business matters.

The successful candidate will work closely with legal and business leaders across the organization, supporting strategic initiatives and providing practical legal guidance on matters that impact the company at an enterprise level.

Responsibilities

• Advise internal business stakeholders on a variety of corporate and commercial legal matters
• Support corporate governance activities, board and committee processes, and subsidiary management
• Assist with public company compliance and reporting obligations
• Draft, review, and negotiate commercial agreements
• Support financing transactions, corporate restructurings, and other strategic corporate initiatives
• Partner with finance, treasury, tax, investor relations, and other corporate functions
• Assist with legal aspects of acquisitions, dispositions, and other corporate transactions
• Help identify and mitigate legal and regulatory risks while supporting business objectives
• Collaborate with attorneys across multiple legal practice areas within the department

Qualifications

• Juris Doctor from an accredited law school
• Active bar membership in good standing
• Approximately 5+ years of legal experience, ideally combining law firm and/or in-house experience
• Background in one or more of the following:
  • Corporate governance
  • Securities and public company matters
  • Corporate transactions
  • Finance-related legal work
  • Commercial contracting
  • General corporate law
• Strong drafting, negotiation, and communication skills
• Ability to work effectively with business leaders and cross-functional teams
• Prior in-house experience is strongly preferred
