Corporate Paralegal

An established Chicago‑based organization is seeking a Corporate Paralegal to join its in‑house Legal team. This is a full‑time, onsite role supporting the Corporate group in a fast‑paced, collaborative environment. The position is based in downtown Chicago.

This role operates on a 40‑hour work week, Monday through Friday from 8:30 AM to 5:00 PM, with a 30‑minute unpaid lunch. The position is primarily onsite, with some limited flexibility to work remotely a few days per month. The Corporate Paralegal will be eligible for overtime as needed. The salary range for this position is $75k-$120k, depending on experience, and includes eligibility for an annual incentive bonus and a separate retention‑based bonus.

The ideal candidate has 3+ years of corporate transactional experience, with strong exposure to entity management and transaction support. This role can flex depending on experience level and is well suited for candidates looking to grow within a corporate legal team.

Skills required and Job Duties include the following:

Job Duties:

  • Support corporate organization and entity management matters, including entity formation, maintenance, and dissolution
  • Maintain corporate organizational charts and internal entity records
  • Conduct UCC and lien searches as part of due diligence
  • Prepare and facilitate corporate governance documentation such as resolutions, consents, assignments, and certificates
  • Coordinate signatures and manage execution of corporate documents
  • Support internal and external legal teams and business partners across Development, Finance, Tax, and Treasury
  • Assist with transaction processes, including preparation of signature packets, coordinating closings, and addressing issues as they arise
  • Maintain records for a large portfolio of U.S. and Canadian legal entities
  • Assist with Know Your Customer (KYC) requests and related compliance matters
  • Participate in training initiatives related to legal policies, procedures, and entity management systems
  • Support workflow coordination and assist with projects as needed across the Corporate Legal team

Qualifications:

  • 3+ years of corporate transactional experience in a law firm or in‑house legal department
  • Paralegal certificate from an accredited program or equivalent experience
  • Strong organizational, time‑management, and communication skills
  • Solid understanding of corporate legal documentation and procedures
  • High attention to detail and ability to manage multiple priorities
  • Ability to work both independently and collaboratively in a team environment
  • Proficiency in Microsoft Office, including Word, Excel, Outlook, Adobe, SharePoint, and PowerPoint

Preferred Qualifications:

  • Experience supporting transactions in a law firm setting
  • Exposure to construction, development, or energy‑related matters
  • Active Illinois notary
