Mid to Sr Corporate M&A Attorney – AmLaw

A leading global law firm is seeking a Corporate M&A Attorney (non-partner track) to join its New York office. This is a highly sophisticated role designed for a senior practitioner who operates as a key driver of complex client matters, working closely with private equity sponsors, family offices, and international entities.

This opportunity is ideal for a dynamic attorney who thrives in a hands-on, execution-focused environment, blending high-level transaction structuring with day-to-day corporate advisory responsibilities. The role offers significant client exposure and the ability to function as a strategic legal partner embedded within client operations.

Key Responsibilities

Complex Deal Structuring & Execution
Lead and manage deal processes involving private equity sponsors, family offices, and institutional investors across LP and related investment structures
Coordinate with and oversee specialist counsel on tax structuring, financing arrangements, and acquisition-related matters
Drive execution of sophisticated transactions across multiple jurisdictions

General Corporate Counsel
Serve as a central point of coordination across legal workstreams, ensuring consistency across governance documents and commercial agreements
Advise on corporate governance, risk management, and structuring for multi-jurisdictional entities
Align legal strategy with broader business objectives, providing practical, solutions-oriented guidance

Qualifications & Desired Skill Set
6+ years of corporate law experience, ideally within a top-tier law firm or sophisticated boutique practice
Strong background in private equity, M&A, and complex corporate structuring
Ability to operate with a high degree of autonomy and interact directly with senior stakeholders, including principals and C-suite executives
Exceptional business acumen with a demonstrated ability to understand the commercial drivers underlying legal work
Strong interpersonal skills and emotional intelligence, with the ability to build trusted client relationships
Highly detail-oriented with excellent judgment and execution capabilities

Education & Bar Admission
Juris Doctor (JD) from an accredited law school
Active NY bar membership
